This is a frequent question. The answer begins with numerous provisions from myOperating Agreement Extraordinaire.Below are two of the more important ones which are based on every LLC state statute.
No Member Liability To Third Parties: No Member shall, by virtue of their status as a Member or their ownership of an Interest, be personally liable for the debts, obligations or liabilities of the Company, including but not limited to a judgment decree or order of a court, unless otherwise agreed by the Member or Members to be personally liable on a debt or obligation.
Authorized Agent: Each Member is the Companys agent for the purpose of the Companys business.Only a Member who is specifically authorized by the Company as per Paragraph A above is to act as an agent of the Company shall have the power to bind the Company to Third Parties as per Section 4C (Company Disclosure) of this Operating Agreement. Any Member so authorized is only an agent for the Company and not an agent for the other Members.
So what do these provisions mean?Assuming you adhere to the proper entity formalities (below), when you manage your LLCs properties, you are not acting personally, but as an agent of the LLC.In effect, it is the LLC entity that is doing the managing, not you.So you are not personally liable and protected.
But for this to work this way, you must disclose to all third parties (tenants, contractors, creditors, etc.) on all documents (leases, contracts, all other correspondence) the full name of the LLC, followed by LLC and after your full name Member, Managing Member or Manager.
Also major LLC decisions and transactions should be documented by way of minutes of meetings; or resolutions which are LLC authorizations of such major decisions without the need for in-person meetings.Examples of major decisions are: Entering into a lease with a tenant, entering into an agreement with a contractor or other creditor.
These are the more important entity formalities to adhere to.
Do this and it will be very difficult (and expensive) for a claimant (tenant, contractor or other wrongful creditor) to pierce the LLC entity veil (veil piercing) and bring an action against you personally.
But you should still have other shields of protection!This is theRoman Shield Strategyof multiple shields like the ingenious ancient Romans did with their military formations completely covered by shields.You need to do the same with your asset protection.
In other words, I am not yelling unsinkable, like the infamousTitanic.It is well known that the Titanic did not have enough life boats.If it did the story would have been much better and so will yours. Again you need to have additional shields, enough life boats.
